Key Benefits

Why Choose Public Limited Company Registration in India?

PVT LTD✓LIMITED LIABILITY★LEGAL ENTITY₹FUNDRAISING READYPERPETUAL∞

Easy Access to Capital

A public limited company can raise funds from a larger pool of investors by issuing shares, subject to applicable legal and regulatory requirements.

Limited Liability Protection

Shareholders' liability is generally limited to the amount unpaid on their shares. Personal assets are therefore protected from the company's business liabilities, subject to applicable law.

Better Credibility

Registration as a public limited company can enhance credibility with investors, banks, suppliers, customers, and business partners.

Growth & Expansion Opportunities

The structure is well suited for businesses planning large-scale expansion, strategic investments, and long-term growth.

Transferability of Shares

Shares of a public company are generally more freely transferable than those of a private company, subject to the applicable legal framework.

Separate Legal Entity

The company has a legal identity separate from its shareholders and directors. It can own assets, enter into contracts, and incur liabilities in its own name.

Perpetual Succession

Changes in shareholders or directors do not normally affect the company's continued existence. The company can continue until it is legally dissolved.

Potential for Stock Exchange Listing

A public limited company can potentially pursue listing of its securities on a recognised stock exchange, provided it meets the applicable eligibility and regulatory requirements.

Step-by-Step

Process for Public Limited Company Registration in India

Registering a Public Limited Company in India involves several steps with the Ministry of Corporate Affairs (MCA). The incorporation process is primarily carried out through the SPICe+ system, which integrates name reservation, incorporation, DIN, PAN/TAN and other related services.

1

Meet the Basic Requirements

Before starting the registration process, ensure that the proposed company has:

  • At least 7 members
  • At least 3 directors
  • At least 1 resident director
  • An Indian registered office
  • A suitable proposed company name and business activity
2

Obtain Digital Signature Certificates

The required subscribers and directors need Digital Signature Certificates (DSCs) for digitally signing incorporation documents submitted to the MCA.

3

Select and Reserve the Company Name

Choose a unique and suitable name for the proposed public company. The name can be applied for through SPICe+ Part A. MCA checks the proposed name against existing companies, LLPs and other naming requirements.

4

Prepare MOA and AOA

Prepare the company's:

  • Memorandum of Association (MOA)
  • Articles of Association (AOA)

These documents define the company's objectives, share structure, internal rules and management framework.

5

File SPICe+ Part B

After name reservation, complete SPICe+ Part B with details of the company, subscribers, directors, registered office and share capital. SPICe+ Part B also facilitates applications for incorporation, DIN, PAN and TAN.

6

Submit Linked Forms

Depending on the company's circumstances, linked forms and documents such as e-MOA, e-AOA, INC-9 and AGILE-PRO-S are filed along with the incorporation application.

7

Pay Government Fees and Stamp Duty

Pay the applicable MCA filing fees and state stamp duty. The amount can vary depending on factors such as authorised share capital and the state of registration.

8

MCA Verification

The Registrar of Companies (ROC) examines the submitted application and documents. If clarification or corrections are required, the application may be sent for resubmission.

9

Receive the Certificate of Incorporation

Once the application is approved, the MCA issues the Certificate of Incorporation (COI) along with the company's Corporate Identity Number (CIN). PAN and TAN are also processed through the integrated incorporation system.

Complete Post-Incorporation Compliance

After incorporation, the company must complete applicable requirements such as maintaining statutory records, appointing an auditor within the prescribed period, opening/operating the company's bank account and completing required commencement and other regulatory compliances.

06
After Incorporation

Post-Incorporation Compliance

Registering your Public Limited company is just the first step. After incorporation, certain legal and regulatory compliances must be completed to keep your company compliant and in good standing.

  • Obtain PAN and TAN (auto-issued with COI) and open a current bank account
  • File declaration for commencement of business
  • Hold first board meeting and maintain statutory registers (members, directors, charges)
  • Complete annual ROC filings — AOC-4 (financials) and MGT-7 (annual return)
  • Conduct statutory audit and hold AGM as per Companies Act, 2013

Stay compliant. Stay focused on growing your business.
